Delphi advisor to NIBE Industrier AB (publ) on its acquisition of 80% of the shares of HT S.p.A.

Delphi has been legal advisor to NIBE Industrier AB (publ) in connection with its acquisition of 80% of the shares in HT S.p.A., Susegana, Italy (“HT”). The company will become part of the NIBE Element business area.

HT has since 1978 produced highly engineered heating solutions for heating, ventilation and air conditioning, commercial food products, packaging and other industrial applications. HT has one production facility in Italy and two in Romania. Revenue in 2016 amounted to approx. EUR 23 million and the company has approximately 330 employees.

Delphi and Gianni, Origoni, Grippo, Capelli & Partners acted as lead legal advisors to NIBE, assisted by Menold Bezler and Nestor Nestor Diculescu Kingston Petersen, while PwC Legal acted as legal advisor to the Sellers.

PwC acted as sole financial advisor to the Sellers.

KPMG carried out financial, tax and pension due diligence activities on behalf of NIBE.

Delphi advised NIBE through the responsible partner Per-Ivar Svensson and senior associate Therese Jönsson.
