Delphi advisor to Railcare Group in the aquisition of 40 per cent of the shares in AC Finance and loan financing and locomotive leasing agreement
Railcare has entered into an agreement to aquire 40 per cent of the shares in the newly started locomotive leasing company AC Finance. In connection with the acquisition, Railcare intends to enter into a loan agreement together with the existing owners of AC Finance to provide shareholder loans of up to SEK 50 million.
Railcare has previously been awarded agreements regarding standby locomotives with the Swedish Transport Administration (Sw: Trafikverket) for a period of five years and with a total order value of SEK 403 million. In connection with the acquisition of shares in AC Finance, Railcare intends to enter into an agreement to lease nine locomotives from AC Finance for a period of five years. Effishunter 1000, the locomotive model which Railcare intends to lease, fulfils the requirements set by the Swedish Transport Administration in the agreements.
The completion of the transaction requires the approval of an extraordinary general meeting of Railcare’s shareholders.
